1. Introduction

Welcome to Suparev. These Terms of Service ("Terms") govern your use of the Suparev platform and services (collectively, the "Service") operated by Roselane Ventures LLC DBA Suparev ("Company," "we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

2. Service Description

Suparev is a B2B SaaS platform that helps home services businesses reactivate dormant leads and past customers. Our Service includes:

• Integration with field service management (FSM) software and CRMs
• AI-powered lead analysis and segmentation
• Automated email and SMS outreach campaigns
• Scheduling and booking functionality
• Payment processing for services rendered
• Campaign performance analytics and reporting

3. Account Registration

To use our Service, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized use
• Ensuring your account information remains current and accurate

4. User Responsibilities

By using Suparev, you agree to:

• Provide accurate business and customer data
• Comply with all applicable laws, including anti-spam regulations
• Obtain proper consent before contacting leads via SMS or email
• Honor opt-out requests promptly
• Not use the Service for any illegal or unauthorized purpose

4.1 Compliance with Communication Laws

You are solely responsible for ensuring your use of our Service complies with:

• CAN-SPAM Act: Requirements for commercial email messages
• TCPA (Telephone Consumer Protection Act): Requirements for SMS and telemarketing
• State and local regulations: Any additional requirements in your jurisdiction
• Industry-specific regulations: Applicable to your business sector

We provide tools to help you comply with these regulations, but compliance is ultimately your responsibility.

5. Payment Terms

Suparev operates on a performance-based pricing model:

• Subscription: $199/month for full platform access (after 3-month free trial)
• Cost Per Lead: $25 per booked appointment from reactivated leads
• Commission: A volume-based commission is charged on jobs booked through Suparev, billed directly to your card on file: 7.5% on jobs up to $2,500; 5% on jobs from $2,501–$10,000; 3% on jobs from $10,001–$50,000; 2% on jobs over $50,000. The maximum commission per transaction is $2,000. Commission decreases as your volume grows.
• No Setup Fees: There are no upfront costs to use the Service

5.1 Commission Billing

Commission is charged directly to your card on file based on the invoiced amount in your field service management software. By using our billing features, you also agree to Stripe's Terms of Service.

5.2 Billing Schedule

Commission charges are processed after job completion, based on the invoiced amount in your FSM. Subscription and CPL charges are billed to your card on file.

5.3 Refunds

Refunds for services booked through Suparev are handled directly by the service provider (our business customer). Suparev's commission is non-refundable once charged. If a full refund is issued to the end customer by the service provider, the commission may be credited to the business customer's account at Suparev's discretion.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Roselane Ventures LLC DBA Suparev and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of your data and content. By using our Service, you grant us a limited license to use your data solely to provide the Service.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE DO NOT GUARANTEE SPECIFIC RESULTS FROM USING THE SERVICE
• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.

8. Indemnification

You agree to indemnify and hold harmless Roselane Ventures LLC DBA Suparev, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

9. Termination

Either party may terminate this agreement with 30 days written notice. We may also terminate or suspend your account immediately, without prior notice, if:

• You breach these Terms
• Your use of the Service poses a security risk
• Required by law or court order
• Your account shows extended inactivity

Upon termination, your right to use the Service will cease immediately. We will provide reasonable opportunity to export your data before account deletion.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Laramie County, Wyoming.
